These Terms of Service ("Terms") are a binding agreement between you and [TANSIHUB LEGAL ENTITY] ("TansiHub," "we," "us"), governing your access to and use of the TansiHub website, mobile application, and services (together, the "Platform"). By creating an account, checking the acceptance box at registration, or using the Platform, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform.

1. Who We Are & What TansiHub Does
TansiHub is an online marketplace that connects people who need services or goods ("Seekers") with independent people who provide them ("Providers"), including a services marketplace and an item marketplace, serving Northern and Indigenous communities in Ontario, Canada.
We are a venue, not a party to the underlying transaction. TansiHub does not provide the services or goods, does not employ Providers, and is not a party to any contract formed between a Seeker and a Provider. We provide the technology, escrow-payment facilitation, and support tools that enable those transactions.
2. Eligibility & Accounts
- You must be at least [18] years old and able to form a binding contract.
- You must provide accurate information and keep it current. You are responsible for all activity under your account and for keeping your credentials secure.
- One account per person unless we approve otherwise. You may not transfer your account.
- We may refuse, suspend, or terminate accounts at our discretion, including for policy or legal violations.
3. The Marketplace: Seekers & Providers
Seekers post jobs or browse listings; Providers bid on jobs or list items and services. When a Seeker accepts a Provider's bid (or agrees to a listing), a direct agreement is formed between them for that work or item. TansiHub is not responsible for the quality, safety, legality, or completion of any job, service, or item, or for a user's statements, conduct, or ability to pay or perform.
4. Pricing, Bidding & Our Service Fee
TansiHub uses a Seeker-led pricing model: the Seeker sets a price or budget range, Providers submit bids, and the Seeker selects a Provider. The Provider receives the full agreed amount of their bid. TansiHub charges a separate service fee which is added on top and paid by the buyer:
- [10%] — standard service fee;
- [5%] — reduced fee where applicable;
- [2.5%] — reduced fee for verified members of Indigenous communities.
The applicable fee is shown before payment. Fees, tiers, and eligibility criteria may change; changes apply to transactions entered after they take effect.
5. Escrow, Payments & Payouts
Payments are processed and held by our payment partner, Stripe, using an escrow model:
- When a bid is accepted, the Seeker's payment (bid amount plus service fee and any applicable taxes) is authorized and/or held.
- Funds are released to the Provider when the job is marked complete and approved, or automatically after the applicable review window, subject to any dispute.
- Providers must complete Stripe onboarding to receive payouts. Payout timing is governed by Stripe.
- You authorize TansiHub and Stripe to charge, hold, capture, transfer, and refund amounts as described in these Terms and the Platform flow.
- You agree not to circumvent the Platform's payment system (e.g. arranging off-platform payment for a job originating on TansiHub). Circumvention may result in fees owed, suspension, or termination.
6. Hourly Jobs & the Timer
Some jobs are billed hourly. For these, the Seeker authorizes a number of hours up front, and a timer records worked time. You acknowledge and agree that:
- A minimum of one (1) hour is billed once work begins, even if the Provider stops earlier;
- Worked time is billed; idle time while the job is paused is not counted as worked time;
- If more time is needed, the Seeker must authorize an extension before additional hours are billed;
- Automated checkpoints may warn, freeze, or close a timer at the authorized cap, with a short grace period.
7. Cancellations & Refunds
Cancellation and refund outcomes depend on when and why a job is cancelled and on work already performed. Held funds not yet released for cancelled jobs are generally refunded to the Seeker, subject to any amounts owed for work done and to our dispute process. Repeated or bad-faith cancellations may lead to accountability measures, including restrictions on your account. The service fee may be non-refundable except where required by law or stated in the Platform flow. Specific cancellation rules shown at the time of a transaction form part of these Terms.
8. Disputes
If a Seeker and Provider disagree about a job, either may open a dispute through the Platform before funds are released (or within the window shown). Both parties may submit evidence. TansiHub may, at its discretion, review the evidence and decide an outcome — including releasing funds to the Provider, refunding the Seeker, or splitting the amount — which may be executed through Stripe (including transfers, refunds, or reversals). Our dispute decisions are made in good faith as the operator of the venue; they are a service to help resolve disagreements and are not legal adjudication. You remain free to pursue rights against the other party outside the Platform.
9. Identity Verification
We may offer or require identity and Indigenous-community verification. By submitting verification documents and a selfie, you confirm they are genuine and yours, and you consent to the biometric and document processing described in our Privacy Policy. Submitting false, altered, or another person's documents is prohibited and may result in immediate termination and referral to authorities.
10. User Conduct & Prohibited Activities
You agree not to:
- Break any law, or offer or request any illegal, unsafe, or fraudulent service or item;
- Misrepresent your identity, qualifications, licences, or Indigenous status;
- Post false, misleading, defamatory, harassing, hateful, or infringing content;
- Circumvent the Platform's payments, fees, or safety features;
- Solicit personal contact details to move a transaction off-platform, or share another person's private information;
- Manipulate reviews, bids, prices, or ratings, or use bots/scrapers;
- Discriminate against any person contrary to human-rights law;
- Interfere with, probe, or attempt to breach the security of the Platform.
We may remove content, restrict features, or suspend/terminate accounts for violations.
11. Content, Reviews & Licence
You retain ownership of content you submit (listings, photos, messages, reviews). You grant TansiHub a non-exclusive, worldwide, royalty-free licence to host, store, display, and use that content to operate and promote the Platform. Reviews must be honest and based on a real transaction; we may remove content that violates these Terms. You are responsible for the content you post and represent that you have the rights to share it.
12. Independent Contractors & No Employment
Providers are independent contractors, not employees, agents, partners, or joint venturers of TansiHub. Nothing on the Platform creates an employment relationship. TansiHub does not supervise, direct, or control the performance of any job, and does not provide tools, training, insurance, or benefits. Providers are responsible for their own equipment, licences, insurance, and compliance with law.
13. Taxes
You are responsible for your own taxes. Providers are responsible for reporting and remitting all taxes on income they earn, including any applicable GST/HST, and for their own tax registration where required. Seekers are responsible for any taxes applicable to their purchases. Where required by law, TansiHub may collect and remit tax (for example, GST/HST on its service fee or as a marketplace facilitator) and may collect tax information and report earnings to the Canada Revenue Agency. TansiHub does not provide tax advice; consult a qualified tax professional. [Confirm final tax treatment with your accountant and update this section.]
14. Safety & Assumption of Risk
Interactions and in-person services carry inherent risks. TansiHub does not guarantee the conduct, identity, or suitability of any user, and verification and reviews do not guarantee safety. You use the Platform and engage other users at your own risk. Use good judgment, meet safely, and comply with all safety and legal requirements. Report unsafe or illegal behaviour to us and, where appropriate, to authorities.
15. Disclaimers
The Platform is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that any job, service, or item will meet your expectations.
16. Limitation of Liability
To the fullest extent permitted by law, TansiHub and its owners, directors, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, goodwill, or the acts or omissions of any user, service, or item obtained through the Platform. Our total aggregate liability arising out of or relating to the Platform will not exceed the greater of [the total service fees you paid to TansiHub in the 6 months before the claim] or [CAD $100]. Some jurisdictions do not allow certain limitations; where that applies, the above limits apply to the maximum extent permitted.
17. Indemnification
You agree to indemnify and hold harmless TansiHub and its owners, directors, employees, and partners from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your content, your jobs or transactions, your breach of these Terms, or your violation of any law or the rights of any third party.
18. Suspension & Termination
You may stop using the Platform and request account deletion at any time. We may suspend or terminate your access at any time, with or without notice, for any violation of these Terms, for safety, fraud, or legal reasons, or if required by a partner (such as our payment processor). Sections that by their nature should survive termination (including fees owed, content licence, disclaimers, limitation of liability, indemnification, taxes, and governing law) survive.
19. Governing Law & Disputes With Us
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. Subject to any non-waivable rights you have as a consumer, you agree that any dispute with TansiHub will be resolved in the courts located in [Ontario, Canada], and you consent to their jurisdiction. [If you intend to require arbitration or limit class actions, have counsel add and review that clause here — enforceability of such clauses against consumers in Canada is limited.]
20. Changes to These Terms
We may update these Terms from time to time. We will post the updated version here with a new date and, for material changes, provide notice. Your continued use after changes take effect means you accept them.
